Terms of Service

1. Introduction

Subject to these Terms of Service (this "Agreement"), SteelBrain LLC. ("Tilda", "we", "us" and/or "our") provides access to Tilda's platform ("Services"), which includes hosting websites, APIs, and web apps, along with features such as a global CDN, usage analytics, team collaboration tools, and deployment rollout management. By using or accessing our Services in any manner, you acknowledge that you have read, understand, and agree to be bound by this Agreement.

If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to this Agreement. In such cases, the term "you" refers to that entity.

2. Age and Eligibility

You certify that you are at least 16 years of age. Tilda's Services may only be used or accessed through an electronic device controlled by you. A valid Tilda account may only be created if you provide accurate and up-to-date information during the signup process, and you are responsible for maintaining the confidentiality of your login credentials. Each user must have unique login credentials that must not be shared. You are responsible for all activities that occur under your account.

3. Temporary Use License

During the term of your authorization to use the Services and subject to your compliance with this Agreement, Tilda grants you a personal, non-sublicensable, non-exclusive, non-transferable, limited license to use the Services for your internal business or personal purposes, subject to the service capacity of your account. Any rights not expressly granted herein are reserved by Tilda. No rights to any Tilda trademarks or third-party marks are granted to you.

4. Your Content

You are solely responsible for all software, code, data, information, feedback, suggestions, text, content, and other materials ("Your Content") that you upload, post, deliver, provide, or otherwise transmit through or store on our Services. By posting Your Content on or through the Services, you grant Tilda a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, copy, modify, reproduce, distribute, display, and perform Your Content as necessary to provide the Services, improve our platform, ensure security, and protect against fraud or abuse. Tilda may remove or disable access to Your Content at its sole discretion.

5. Starter Plan

Tilda offers a free Starter Plan for personal or non-commercial use. You may use the Starter Plan only for non-commercial purposes. Tilda reserves the right to change the terms of the Starter Plan or discontinue it at any time. Tilda may disable or remove any project or deployment under the Starter Plan, with or without notice, at our sole discretion.

6. Acceptable Use

Your use of the Services, including participation in community forums or discussions, is subject to the following requirements:

  • Lawful Use: You shall use the Services only for lawful purposes.
  • Security: You must not attempt to undermine the security or integrity of Tilda or other users' systems, including attempting unauthorized access.
  • Prohibited Content: You shall not post or transmit content that is abusive, defamatory, obscene, or otherwise in violation of applicable law.
  • Automated Access: You shall not use automated methods (such as bots or scrapers) to access or extract data from Tilda, nor attempt to circumvent any usage limits imposed by Tilda.
  • Fair Use: You shall not abuse the Services in any way that may impair Tilda's operations or the experience of other users.

Any violation of these acceptable use provisions may result in immediate termination of your account and access to the Services.

7. Etiquette

You agree not to use the Services in connection with any website or application that contains objectionable or abusive content, as determined solely by Tilda. Tilda reserves the right to disable or terminate any account or deployment for violating these terms.

8. Security and Data Protection

You are responsible for configuring your deployments so that they do not expose personal data without proper consent. Tilda employs reasonable administrative, technical, and physical safeguards to protect the information we collect from Customers. However, Tilda is not responsible for vulnerabilities or misconfigurations in your content or code. In the event of a security incident, you agree to promptly report the matter to [email protected].

9. Use of Your Data and Aggregate Data

Tilda collects personal data only from Customers during account creation and while using our website. This includes information provided by social login providers (such as email, name, and location). Tilda uses this data to operate and improve our platform, provide support, conduct analytics, ensure security, and comply with legal obligations. Tilda may send marketing communications to Customers who have signed up. We may also share de-identified or aggregate data with third-party analytics providers to help us understand and improve usage of the Services.

10. Usage Restrictions

You agree not to:

  • Resell, rent, lease, or otherwise commercially exploit the Services;
  • Reverse engineer, decompile, or disassemble any software provided through the Services;
  • Use the Services for purposes not permitted by this Agreement; or
  • Circumvent any limitations or restrictions imposed by Tilda.

Violations of these restrictions may result in suspension or termination of your account.

11. Support

Tilda may, at its sole discretion, provide you with remote technical support services ("Support Services") during our normal business hours. However, Tilda is not obligated to provide support for all issues, and Support Services are provided on a best-effort basis.

12. Electronic Communications

By using the Services, you consent to receiving electronic communications from Tilda, including notices regarding service fees, updates, and other important information. These communications constitute part of this Agreement. You are responsible for keeping your contact information up to date.

13. Representations and Warranties

13.1 Representations

You represent and warrant that:

  • You have the authority to use the Services and post Your Content;
  • Your Content does not infringe or violate any third-party rights; and
  • You will use the Services in accordance with Tilda's policies and applicable law.

13.2 Mutual Warranty

Each party represents and warrants that it has full authority to enter into and perform under this Agreement.

14. Indemnification

You agree to indemnify and hold harmless Tilda and its affiliates, officers, and employees from any claims, damages, or expenses arising from your breach of this Agreement or your use of the Services. Tilda will notify you of any claim and allow you to assume the defense, provided you do so promptly.

15. Confidentiality; Proprietary Rights

15.1 Confidentiality

Each party agrees to keep confidential any proprietary or sensitive information disclosed by the other party. This obligation will survive termination of this Agreement.

15.2 Company Ownership

Tilda retains all rights, title, and interest in and to the Services and any improvements or modifications thereto, including all intellectual property rights.

15.3 Feedback

Any suggestions or feedback you provide to Tilda regarding our Services become Tilda's property, and you grant Tilda a perpetual, irrevocable, non-exclusive license to use that feedback.

15.4 Customer Name

By using the Services, you grant Tilda a limited license to use your name, trademarks, and logos for marketing purposes, subject to your guidelines.

16. Payment of Fees

16.1 Plans

The Services are offered under different plan levels, including a free Starter Plan and paid self-service subscription plans. For enterprise licenses, please contact Tilda directly. You may upgrade or downgrade your plan as provided in your account settings. Fees will be billed according to the payment terms in effect at the time and are non-refundable except as otherwise stated.

16.2 Payments

Payments are made in U.S. dollars. You are responsible for paying all applicable taxes and fees. Tilda reserves the right to modify its fees with notice, and your continued use of the Services constitutes acceptance of any changes.

17. Term and Termination

17.1 Term

This Agreement commences when you first accept it and continues as long as you use the Services. Self-service subscription terms automatically renew unless you cancel prior to the renewal date.

17.2 Termination

Either party may terminate this Agreement with notice. Upon termination, your license to use the Services terminates and you must cease all use. Any outstanding fees become immediately due, and Tilda may delete all associated data after termination.

17.3 Survival

Sections regarding payment, confidentiality, warranties, indemnification, and limitations of liability shall survive termination.

18. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. TILDA DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TILDA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER TILDA NOR ITS SUPPLIERS OR EMPLOYEES SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TILDA'S AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS OR THE AMOUNT PAID BY YOU TO TILDA IN THE SIX MONTHS PRIOR TO THE CLAIM.

20. Miscellaneous

  • This Agreement constitutes the entire agreement between you and Tilda regarding the Services and supersedes all prior agreements and understandings.
  • No assignment of this Agreement is allowed without Tilda's prior written consent (Tilda may assign this Agreement at its discretion).
  • Tilda's failure to enforce any provision of this Agreement does not constitute a waiver of that right.

21. Governing Law; Disputes; Arbitration

21.1 Governing Law

This Agreement is governed by the laws of the State of California without regard to its conflicts of law provisions.

21.2 Binding Contract

You acknowledge that this Agreement is a binding contract between you and Tilda, even though it may be executed electronically.

21.3 Dispute Resolution and Arbitration

If any dispute arises out of or relates to this Agreement, and cannot be resolved amicably, it shall be resolved exclusively by final and binding arbitration in accordance with the rules of the American Arbitration Association. For U.S. Customers, any such dispute shall be resolved in the federal or state courts located in San Francisco County, California. For Customers located outside the United States, disputes will be governed by California law and resolved by binding arbitration in San Francisco, California, unless otherwise mutually agreed.

22. Previews

Tilda may offer certain beta or preview features ("Previews") which are provided on an "as is" basis and without any warranty, and are subject to change or discontinuation at any time. Previews are not covered by the standard support services.
